Accounts 1.1 Account Creation To use certain features (for example, checkout, order history, wishlists, or reviews), you must register for an account (“Account”) and provide certain information. If unresolved within 60 days of receipt of your notice, either party may commence arbitration with JAMS under the Streamlined Arbitration Rules (claims under US$250,000) or Comprehensive Rules (others). JAMS rules apply and are available at www.jamsadr.com. Unless the parties agree otherwise (or Batch Arbitration applies), the arbitration will be held in the county where you reside. JAMS not available? The parties will select an alternative forum. Fees are allocated as set forth in the applicable rules. (d) Confidentiality. All materials exchanged in arbitration are confidential except as needed for the arbitration or enforcement of an award. (e) Authority of Arbitrator. The arbitrator has exclusive authority to resolve all disputes subject to arbitration, including formation/enforceability, except as specified in (g) and fee disputes (as specified), conditions precedent, and which agreement version applies—all of which are for a court to decide. The arbitrator may grant any relief available to an individual party under applicable law and must issue a written award. (f) Waiver of Jury Trial. EXCEPT AS PROVIDED IN 10.2(a), YOU AND THE COMPANY PARTIES WAIVE THE RIGHT TO A JURY TRIAL. (g) Waiver of Class or Other Non-Individualized Relief. EXCEPT AS SPECIFIED IN 10.2(h), CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. If a court (not subject to further appeal) finds this waiver unenforceable with respect to a particular claim or request for relief, that claim/request (and only that) may be litigated in courts located in the State of Delaware; all other disputes go to arbitration or small claims. (h) Batch Arbitration. If 100 or more substantially similar individual arbitration requests are filed against Company by/with the same law firm(s) or organization within 30 days, JAMS will (1) administer them in batches of 100 (plus a final remainder batch); (2) appoint one arbitrator per batch; and (3) resolve each batch as a consolidated arbitration with one set of fees per side per batch. A standing Administrative Arbitrator may decide disputes about applying this process. (i) Attorneys’ Fees and Costs. Each party bears its own fees/costs unless the arbitrator finds a request frivolous or brought for an improper purpose. A party compelling arbitration may recover reasonable costs and fees of compelling arbitration. The prevailing party in court over conditions precedent may recover reasonable costs/fees. (j) 30-Day Right to Opt Out. You may opt out of this Arbitration Agreement by sending written notice within 30 days of first being subject to it to 24A Trolley Square #1231, Wilmington, Delaware 19806 or info@grantnetworks.llc. Your notice must include your name, address, and a clear statement that you opt out. (k) Invalidity; Timeliness. Except as provided in 10.2(g), if any part of this Arbitration Agreement is found invalid, the remainder stays in effect. Disputes must be initiated within the applicable statute of limitations. (l) Modification. If we make a future material change to this Arbitration Agreement, you may reject it within 30 days by writing to us as above; otherwise, continued use constitutes acceptance of the change. 11. Export You agree not to export, re-export, or transfer any U.S. technical data acquired from Company or any products utilizing such data in violation of U.S. export laws or other applicable regulations. 12. Miscellaneous These Terms constitute the entire agreement between you and us regarding use of the Site. Our failure to enforce any right is not a waiver. You are an independent contractor; no agency or partnership is created. You may not assign these Terms without our prior written consent; we may assign freely. These Terms bind and inure to the benefit of the parties and their successors/assigns. Governing law: the laws of the State of Delaware, without regard to conflict-of-laws principles (subject to the Federal Arbitration Act for arbitration issues).
