Terms of service The website located at www.markryden.store (the “Site”) is a copyrighted work belonging to Grant Networks, LLC (“Company,” “we,” “us,” or “our”). Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms. UNLESS YOU OPT OUT OF THE AGREEMENT TO ARBITRATE WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL. 1. Accounts 1.1 Account Creation To use certain features (for example, checkout, order history, wishlists, or reviews), you must register for an account (“Account”) and provide certain information. You represent and warrant that (a) all required registration information you submit is truthful and accurate; and (b) you will maintain the accuracy of such information. You may delete your Account at any time by following the instructions on the Site. Company may suspend or terminate your Account in accordance with Section 8. 1.2 Account Responsibilities You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your Account. You agree to notify Company immediately of any unauthorized use or suspected breach of security. Company will not be liable for any loss or damage arising from your failure to comply with the above. 2. Access to the Site 2.1 License Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site solely for your personal, noncommercial use. 2.2 Certain Restrictions The rights granted to you are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or any content on the Site; (b) you shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website, product, or service; and (d) except as expressly stated, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted. All copyright and other proprietary notices on the Site must be retained on all copies. 2.3 Modification We reserve the right at any time to modify, suspend, or discontinue the Site (in whole or in part) with or without notice. We will not be liable for any modification, suspension, or discontinuation. 2.4 No Support or Maintenance We have no obligation to provide support or maintenance for the Site. 2.5 Ownership Excluding User Content (defined below), all intellectual property rights in the Site and its content are owned by Company or our suppliers. These Terms do not transfer any rights except the limited license in Section 2.1. All rights not expressly granted are reserved. 2.6 Feedback If you provide any feedback or suggestions, you assign to Company all rights in such feedback and agree that we may use it in any manner. Feedback is non-confidential and non-proprietary. 3. User Content 3.1 User Content “User Content” means any information or content that users submit to, or use with, the Site (e.g., reviews, comments, profile information). You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not violate our Acceptable Use Policy below. 3.2 License You grant Company an irrevocable, nonexclusive, royalty-free, fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses, solely for operating and providing the Site and services. You irrevocably waive any moral rights in your User Content. 3.3 Acceptable Use Policy You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content: (i) that violates any third-party right, including IP, privacy, or publicity rights; (ii) that is unlawful, harassing, abusive, threatening, harmful, defamatory, false, misleading, obscene, or otherwise objectionable; (iii) that is harmful to minors; or (iv) that violates any law or third-party obligations. In addition, you agree not to: (a) upload viruses or malicious code; (b) send unsolicited messages (spam); (c) harvest information about users without consent; (d) interfere with or disrupt the Site or networks; (e) attempt unauthorized access; (f) harass or interfere with other users’ enjoyment; or (g) use bots or automated scripts to create accounts or scrape data (except for revocable permission for public search engines to index publicly available pages subject to our robots.txt). 3.4 Enforcement We may, in our sole discretion, review, remove, or modify User Content; suspend or terminate Accounts; and/or report suspected unlawful activity to authorities. 3.5 Indemnification You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of law or third-party rights, or (d) your User Content. 4. Third-Party Links & Ads; Other Users The Site may contain links to third-party websites/services or display third-party ads (collectively, “Third-Party Links & Ads”). Company does not control or endorse Third-Party Links & Ads and is not responsible for them. Your use is at your own risk and subject to the applicable third party’s terms. Other users are solely responsible for their User Content. We are not responsible for User Content by others or for your interactions with them. Release. You release Company (and our officers, employees, agents, successors, and assigns) from all claims arising out of or related to the Site, User Content, or Third-Party Links & Ads. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542. 5. Product & Service Terms (E-Commerce) 5.1 Product Information; Availability We strive for accuracy, but errors (e.g., descriptions, images, pricing, availability) may occur. Colors may vary due to display settings. We reserve the right to correct errors and to change or update information at any time without prior notice. 5.2 Pricing; Taxes; Duties Prices are in the currency shown at checkout and exclude taxes, duties, and shipping unless stated. You are responsible for applicable sales/VAT/GST and customs duties. If a product is listed at an incorrect price, we may cancel or refuse the order (with a refund if charged). 5.3 Orders; Acceptance Your order is an offer to buy. We may accept or reject any order for any reason. If we cancel after charging you, we’ll refund the amount charged. Risk of loss passes on delivery to the carrier; title passes upon our receipt of full payment. 5.4 Payments We use third-party payment processors (e.g., Shopify Payments, PayPal, and other listed options). By submitting a payment, you agree to the processor’s terms and authorize the charge. We may implement fraud checks and refuse or cancel orders suspected of fraud or abuse. 5.5 Promotions & Coupons Promotions are subject to terms and may be modified or terminated without notice. Promotions are not transferable, have no cash value, and may not be combined unless expressly allowed. 5.6 Shipping, Returns & Warranty Shipping, Returns/Refunds, and Warranty & Repairs are governed by the separate policies posted on the Site (which are incorporated by reference). Dispute Resolution; Arbitration Agreement 10.1 Changes We may occasionally update these Terms. You are responsible for providing a current email address. 10.2 Arbitration Agreement (a) Applicability. Any dispute between you and the Company Parties relating to the Site, services, or these Terms will be resolved by binding arbitration, rather than in court, except: (1) you or we may bring individualized claims in small claims court; and (2) you or we may seek equitable relief in court for IP misuse/infringement. This Arbitration Agreement survives termination and applies to prior and future claims. You may bring issues to government agencies. (b) Informal Dispute Resolution. Before arbitration, the parties will meet and confer via phone or video in good faith to attempt resolution. Include your name, contact details, counsel’s info (if any), and a description of the dispute. The conference will occur within 45 days of receipt unless extended by agreement. Limitations periods and filing deadlines are tolled during this process. (c) Rules and Forum. If unresolved within 60 days of receipt of your notice, either party may commence arbitration with JAMS under the Streamlined Arbitration Rules (claims under US$250,000) or Comprehensive Rules (others). JAMS rules apply and are available at www.jamsadr.com. Unless the parties agree otherwise (or Batch Arbitration applies), the arbitration will be held in the county where you reside. JAMS not available? The parties will select an alternative forum. Fees are allocated as set forth in the applicable rules. (d) Confidentiality. All materials exchanged in arbitration are confidential except as needed for the arbitration or enforcement of an award. (e) Authority of Arbitrator. The arbitrator has exclusive authority to resolve all disputes subject to arbitration, including formation/enforceability, except as specified in (g) and fee disputes (as specified), conditions precedent, and which agreement version applies—all of which are for a court to decide. The arbitrator may grant any relief available to an individual party under applicable law and must issue a written award. (f) Waiver of Jury Trial. EXCEPT AS PROVIDED IN 10.2(a), YOU AND THE COMPANY PARTIES WAIVE THE RIGHT TO A JURY TRIAL. (g) Waiver of Class or Other Non-Individualized Relief. EXCEPT AS SPECIFIED IN 10.2(h), CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. If a court (not subject to further appeal) finds this waiver unenforceable with respect to a particular claim or request for relief, that claim/request (and only that) may be litigated in courts located in the State of Delaware; all other disputes go to arbitration or small claims. (h) Batch Arbitration. If 100 or more substantially similar individual arbitration requests are filed against Company by/with the same law firm(s) or organization within 30 days, JAMS will (1) administer them in batches of 100 (plus a final remainder batch); (2) appoint one arbitrator per batch; and (3) resolve each batch as a consolidated arbitration with one set of fees per side per batch. A standing Administrative Arbitrator may decide disputes about applying this process. (i) Attorneys’ Fees and Costs. Each party bears its own fees/costs unless the arbitrator finds a request frivolous or brought for an improper purpose. A party compelling arbitration may recover reasonable costs and fees of compelling arbitration. The prevailing party in court over conditions precedent may recover reasonable costs/fees. (j) 30-Day Right to Opt Out. You may opt out of this Arbitration Agreement by sending written notice within 30 days of first being subject to it to 24A Trolley Square #1231, Wilmington, Delaware 19806 or info@grantnetworks.llc. Your notice must include your name, address, and a clear statement that you opt out. (k) Invalidity; Timeliness. Except as provided in 10.2(g), if any part of this Arbitration Agreement is found invalid, the remainder stays in effect. Disputes must be initiated within the applicable statute of limitations. (l) Modification. If we make a future material change to this Arbitration Agreement, you may reject it within 30 days by writing to us as above; otherwise, continued use constitutes acceptance of the change. 11. Export You agree not to export, re-export, or transfer any U.S. technical data acquired from Company or any products utilizing such data in violation of U.S. export laws or other applicable regulations. 12. Miscellaneous These Terms constitute the entire agreement between you and us regarding use of the Site. Our failure to enforce any right is not a waiver. Section titles are for convenience only. “Including” means “including without limitation.” If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. You are an independent contractor; no agency or partnership is created. You may not assign these Terms without our prior written consent; we may assign freely. These Terms bind and inure to the benefit of the parties and their successors/assigns. Governing law: the laws of the State of Delaware, without regard to conflict-of-laws principles (subject to the Federal Arbitration Act for arbitration issues).
